Legal agreements and voluntary exchanges are fundamental aspects of social life. In any free society, people enter into all kinds of contracts on a daily basis \u2014 from simple purchases of everyday goods and services to more complex, highly specific arrangements.<\/p>\n
As society and technology evolve, so do the ways in which services are hired, delivered, and formalized. Over the past few years, these changes have intensified dramatically.<\/p>\n
Today, a significant portion of the services people use on a daily basis is provided digitally.<\/p>\n
In the financial sector, for example, most services offered to consumers are now electronic \u2014 not least because money itself has become \u201cdigitized.\u201d<\/p>\n
A customer who wants to make a deposit, transfer funds, request payments, or take out a loan no longer needs to visit a bank branch in person. In fact, many financial institutions today operate entirely without physical branches.<\/p>\n
Just as the delivery of services has changed, the way contracts are executed has also evolved alongside new technologies. With the rise and sophistication of digital authentication methods, many contracts can now be signed online, without the parties ever meeting in person.<\/p>\n
This shift includes even the most routine agreements \u2014 especially those arising from relationships between customers and financial institutions.<\/p>\n
With these significant changes, it is no surprise that disputes involving electronic contracts<\/strong> have increased.<\/p>\n This raises essential questions: The Brazilian Code of Civil Procedure is clear on this point. Article 784, \u00a74 validates electronic contracts whose authentication is completed through any legally recognized form of electronic signature<\/strong>, and further clarifies that witness signatures are unnecessary when the document’s integrity is certified by a signature provider.<\/p>\n While there are official digital certification systems \u2014 such as those issued under ICP\u2011Brasil (Brazil\u2019s Public Key Infrastructure) \u2014 courts have consistently held that if there is clear evidence<\/strong> that the consumer knowingly entered into the agreement, the contract is valid and legally enforceable.<\/p>\n This understanding is reinforced by Provisional Measure No. 2.200\u20112\/2001 (which created ICP\u2011Brasil), whose Article 10, \u00a72 states:<\/p>\n The provisions of this Provisional Measure do not prevent the use of other means to prove the authorship and integrity of electronic documents, including certificates not issued by ICP\u2011Brasil, provided they are accepted by the parties or by the person to whom the document is being presented.<\/p><\/blockquote>\n Brazilian courts \u2014 including in consumer-related cases \u2014 have consistently upheld the validity of electronic contracts. More than formal requirements, judges focus on whether the contract was authenticated<\/strong> and whether the consumer\u2019s intent to contract<\/strong> can be reliably demonstrated.<\/p>\n A recent decision from the S\u00e3o Paulo Court of Justice offers a clear example.<\/p>\n In Appeal No. 1004145\u201163.2024.8.26.0189<\/strong>, judged by the 21st Chamber of Private Law on April 9, 2025<\/strong>, the court upheld the validity of an electronic agreement for a Bank Credit Note entered into between a consumer and a financial institution.<\/p>\n The court found the contract valid because the bank proved that:<\/p>\n
